Terms of Service

1. Acceptance of Terms

By accessing or using the Spatrian platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms apply to all users, including parents, guardians, and administrators.

2. Description of Service

Spatrian provides a soccer-based homeschool physical education curriculum platform, including but not limited to: lesson plans, skill assessments, rubric grading, progress tracking, video journaling, AI-powered coaching analysis, compliance documentation, and administrative tools. The Service is designed as a supplementary educational tool for parent-led homeschool instruction for students in age groups U14, U16, and U18.

The Service is not an accredited school, does not issue official academic transcripts, and does not replace professional athletic coaching or medical guidance.

3. Eligibility

• You must be at least 18 years of age to create an account
• You must be the parent or legal guardian of any student enrolled in the program
• Students under 13 may only use the platform after Verifiable Parental Consent (VPC) has been obtained in compliance with COPPA
• The curriculum is designed for students in the U14 (ages 13–14), U16 (ages 15–16), and U18 (ages 17–18) age groups
• You are responsible for ensuring that your use of the Service complies with all applicable local, state, and federal laws

4. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and current information
• Notifying us immediately of any unauthorized use of your account

5. Subscription and Payment

• Subscription fees are billed monthly through Stripe
• Prices are subject to change with 30 days' notice
• You may cancel your subscription at any time; access continues until the end of the billing period
• Refunds are handled on a case-by-case basis
• All fees are in US dollars

6. AI-Generated Content

Portions of the Service use artificial intelligence (Google Gemini) to generate coaching feedback, drill analysis, tactical reports, and lesson content. You acknowledge and agree that:

• AI-generated content is provided for informational and educational purposes only
• AI outputs do not constitute professional coaching, medical, or legal advice
• AI-generated compliance documents (transcripts, assessment reports) are supplementary and do not constitute official school records or accredited academic documentation
• You are responsible for reviewing and verifying AI-generated content before relying on it
• AI analysis accuracy may vary and Spatrian does not guarantee the correctness of AI outputs
• When you use video analysis features, your uploaded video content is transmitted to Google's Gemini API for processing (see our Privacy Policy for details)

7. User Content & License Grant

Content you upload (videos, journal entries, images, documents) remains your property. By uploading content to the Service, you grant Spatrian a limited, non-exclusive license to:

• Store and display that content within the platform for your use
• Transmit content to third-party AI services (Google Gemini) for the purpose of generating analysis and coaching feedback, when you initiate such analysis
• Process content as necessary to provide the Service features you use

This license terminates when you delete the content or close your account. We do not use your content for advertising or sell it to third parties.

8. Intellectual Property

All curriculum materials, assessments, software, design elements, and platform content are the property of Spatrian and are protected by copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without explicit written permission.

9. Physical Activity Risks

You acknowledge that the curriculum involves physical activities that carry inherent risks of injury. You accept full responsibility for:

• Ensuring your child is medically cleared for physical activity
• Providing a safe training environment with appropriate equipment
• Supervising all physical activities
• Assessing weather and environmental conditions before training
• Modifying or skipping activities that are not appropriate for your child's abilities or condition

10. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Upload malicious content, viruses, or harmful code
• Share your account with unauthorized users
• Resell or redistribute the curriculum content
• Use the Service to collect personal information from other users without consent
• Use automated tools to scrape or extract content from the platform

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Spatrian does not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The training programs will produce any specific athletic outcomes
• AI-generated analysis or recommendations will be accurate or complete
• The curriculum satisfies any particular state's homeschool requirements — you are solely responsible for verifying compliance with your state's regulations

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPATRIAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR PHYSICAL INJURY ARISING FROM:

• Your use of or inability to use the Service
• Any physical activity performed as part of the curriculum
• Any reliance on information or AI-generated content provided through the Service
• Unauthorized access to or alteration of your data
• Any third-party service failures (including payment processing or AI services)

In no event shall Spatrian's total liability to you exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Spatrian, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service or violation of these Terms
• Content you upload to the platform
• Your failure to supervise physical activities
• Your violation of any third-party rights
• Any claim that your use of the Service caused injury to your child or a third party

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with notice where practicable. Upon termination:

• Your right to use the Service ceases immediately
• You may request export of your data within 30 days of termination
• All personally identifiable data will be deleted within 30 days of account closure, in accordance with our Privacy Policy
• Sections 11, 12, 13, and 16 survive termination

15. Service Availability

We strive to maintain reliable access to the Service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice where possible)
• Unscheduled outages or technical issues
• Events beyond our reasonable control (force majeure), including natural disasters, internet infrastructure failures, or third-party service outages

We are not liable for any loss or inconvenience caused by service unavailability.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in English, with the arbitrator's decision being final and binding.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action or class-wide arbitration.

Exception: Either party may seek injunctive relief in a court of competent jurisdiction for intellectual property infringement or unauthorized access to the Service.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the platform at least 15 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree with the changes, you may cancel your subscription before the effective date.

18. General Provisions

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Spatrian.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under these Terms without our written consent.
